1. About Proxyma and These Terms

Proxyma is developed and maintained by Le Sy Hau, an individual software developer based in Vietnam. All references to “we,” “us,” or “the Developer” in these Terms refer to this individual person.

By downloading, installing, or using Proxyma, you (“Customer” or “you”) agree to these Terms of Service (“Terms”). If you do not agree, do not use Proxyma.

Subject to these Terms and, where applicable, payment of the applicable fee, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Proxyma on the number of concurrent instances permitted by your Tier, as described on the pricing page at proxyma.ai.

The Community tier is provided free of charge for an unlimited time. It requires no License Key and is subject to the feature restrictions described on the pricing page.

4. Purchases and Billing

Paid licenses are sold as annual or monthly subscriptions. All purchases are processed by Lemon Squeezy (lemonsqueezy.com), which acts as the Merchant of Record for all Proxyma transactions. By purchasing, you also agree to Lemon Squeezy's Terms of Service. We do not directly handle your payment information.

Subscriptions renew automatically at the end of each billing period. You may cancel at any time before the renewal date through your Lemon Squeezy account to prevent the next charge. Cancellation takes effect at the end of the current paid period.

5. Refunds and Right of Withdrawal

All refund requests and withdrawal rights are governed by Lemon Squeezy's Buyer Terms. As Merchant of Record, Lemon Squeezy manages all refund and chargeback processes on our behalf.

If you are a consumer in the European Union, you may have a statutory right to withdraw from the purchase within 14 days. Please review Lemon Squeezy's Buyer Terms for the exact mechanism at checkout.

6. Intellectual Property

Proxyma, the Proxyma name, and all associated intellectual property are owned by Le Sy Hau. These Terms do not grant you any right to use the Proxyma name or logo beyond what is necessary to describe your use of the Software.

You retain full ownership of all documents, files, and data you process using Proxyma. Proxyma processes your data locally on your own infrastructure; we acquire no rights to your content.

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties. If the law in your country requires implied warranties, they are limited to the minimum warranty period permitted by that law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. If you paid nothing (Community tier), our total liability is limited to USD 50.

Nothing in these Terms limits or excludes liability that cannot be excluded by applicable mandatory law, including consumer protection laws and product liability laws in your country of residence.

10. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles.

If you are a consumer located in the European Economic Area, the mandatory consumer protection laws of your country of residence also apply, and you may bring proceedings before the courts of your country of residence.

For any dispute, please contact us first at [email protected]. We will make a genuine effort to resolve the issue informally before any formal proceedings.

11. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of Proxyma after such notice constitutes your acceptance of the updated Terms.
