Terms of Service

1. About Proxyma and These Terms

Proxyma is developed and maintained by Le Sy Hau, an individual software developer based in Vietnam (“we,” “us” or “the Developer”).

By downloading, installing or using Proxyma, you (“Customer” or “you”) agree to these Terms of Service (“Terms”). If you do not agree, do not use Proxyma.

These Terms cover the Proxyma software you download and run yourself. The versions of these Terms, the Privacy Policy and the End User License Agreement in force are the ones published here.

They also cover your use of the Enterprise sandbox at enterprise-demo.proxyma.ai, a Proxyma Enterprise Server deployment we host so you can try accounts, roles and administration. Signing in to it, with one of its shared accounts or an account you register, is your acceptance of these Terms, the Privacy Policy and the End User License Agreement, as its sign-in page says. You must be 16 or older to register an account there, and should register it with a made-up email address. It is free, is provided as-is for evaluation with no guarantee of availability, and may be reset or taken down at any time without notice. It is writable and shared: anything you add to it can be seen and used by other visitors, and everything in it is deleted every night. You must not enter real credentials, confidential data or anyone else's personal data into it, use it for anything unlawful, or use it to attack or reach any other system. We may remove anything added to it, and close any account on it, at any time.

2. Definitions

  • “Software” — the Proxyma application and all associated files and documentation.
  • “License Key” — the key you receive after purchase. It activates the signed license required for a Personal, Professional or Enterprise installation. The Community tier does not require one.
  • “Tier” — Community (free, no License Key required), Personal (one-time purchase, License Key required), Professional (one-time purchase, License Key required; also offered as a free trial, see section 4) or Enterprise (server deployment, contact-based, terms negotiated separately).
  • “Customer” or “you” — the individual or organization downloading, installing or using the Software.

3. License Grant

Subject to these Terms and, where applicable, payment of the applicable fee, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Proxyma on the number of concurrent instances your Tier permits, as described on the pricing page at proxyma.ai.

The Community tier is free for an unlimited time, requires no License Key, and is subject to the feature restrictions described on the pricing page.

4. Purchases and Billing

The Community tier is free. No purchase, subscription or License Key is required.

Free trial

A new installation of Proxyma Desktop or Proxyma Home Server on a computer that has not had a trial starts a free trial of the Professional tier by itself when it can reach our license server, lasting 30 days from the day it starts. No License Key, payment or account is required, and nothing is charged when it ends. One trial is available per computer: the computer is recognized by a one-way hash of its operating system's identifier, as described in the Privacy Policy, and a computer that has had a trial does not receive another. When the trial ends, the installation continues on the Community tier, with that tier's limits. Proxyma Enterprise Server has no free trial. We may change or end the trial offer for installations that have not yet started a trial.

Promotions

We may offer the Personal and Professional tiers at a reduced price for a stated period. The reduced price applies to purchases completed within that period through our checkout, where it is applied by Lemon Squeezy; it is not applied to purchases completed before or after it, and it cannot be combined with another discount unless we say so. We may end a promotion before its stated end; a purchase completed before then keeps its price.

The Personal and Professional tiers are sold as a one-time purchase per installation. All such purchases are processed by Lemon Squeezy (lemonsqueezy.com), our authorized reseller and Merchant of Record. Lemon Squeezy takes the payment, calculates and remits any applicable VAT or sales tax, issues your invoice, and appears as the merchant on your card statement. By purchasing, you also agree to Lemon Squeezy's Terms of Service. We do not see or store your payment information.

What a license does not include

A license does not include AI usage or AI credits. Proxyma needs an AI model to answer questions, and you supply it: a local model at no additional cost, or a third-party provider (for example Anthropic, Google, Azure OpenAI, or any service offering an OpenAI-compatible interface, such as OpenAI, DeepSeek or Mistral) using your own account and API key. A third-party provider you choose bills you directly, at its own rates and under its own terms. We are not a party to that relationship, do not resell its capacity, and have no control over its pricing or availability. No part of your license fee is applied to it.

Enterprise pricing is available on request and is governed by a separate written agreement.

5. Refunds and Right of Withdrawal

The Community tier is free, so no refund is necessary or possible.

14-day refund, anywhere in the world. Email contact@proxyma.ai within 14 days of purchase and we will refund it in full. You do not need to give a reason.

We ask that you use the free 30-day trial of Professional first (section 4); it starts by itself when you install Proxyma.

Before requesting a refund, please release the license in Settings → License → Release. A refunded license is revoked and may not continue to be used; using the Software after a refund breaches the End User License Agreement.

Refunds are processed by Lemon Squeezy as Merchant of Record under its Buyer Terms, which also govern chargebacks.

This policy is in addition to your rights under local consumer law, including the statutory right of withdrawal for consumers in the European Union and the United Kingdom, and the consumer guarantees under Australian Consumer Law. Nothing here limits any right that cannot be limited by agreement.

6. Intellectual Property

Proxyma, the Proxyma name and all associated intellectual property are owned by Le Sy Hau. These Terms grant you no right to use the Proxyma name or logo beyond what is necessary to describe your use of the Software.

You retain full ownership of all documents, files and data you process with Proxyma. Proxyma processes your data locally on your own infrastructure, except what you send to an AI provider or other service you configure (Privacy Policy section 3.6); we acquire no rights to your content. On the Enterprise sandbox (section 1), what you add is processed on our infrastructure instead, as the Privacy Policy describes; we acquire no rights to it there either, and it is deleted every night.

7. Prohibited Uses

You may not:

  • Reverse-engineer, decompile or disassemble the Software, except to the extent expressly permitted by applicable law
  • Redistribute, sublicense, sell, rent or transfer the Software or a License Key to any third party
  • Use the Software to develop a competing product or service
  • Remove or alter any copyright, trademark or proprietary notices in the Software
  • Use a single License Key on more concurrent instances than your Tier permits

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties. Where the law in your country requires implied warranties, they are limited to the minimum warranty period that law permits.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID FOR THE SOFTWARE, OR USD 50, WHICHEVER IS THE GREATER. Personal and Professional are one-time purchases, so this cap does not diminish over time.

Nothing in these Terms limits or excludes liability that cannot be excluded by applicable mandatory law, including consumer protection and product liability laws in your country of residence.

10. Updates

Proxyma Desktop checks for updates when it starts and once a day and, by default, downloads them in the background and installs a downloaded update when you restart it. You can change or turn off both in Settings → Updates. Proxyma Home Server checks on the same schedule and only tells you that a new version exists. Proxyma Enterprise Server does not check for updates; its operator upgrades it.

11. AI Answers and Agent Actions

Answers come from an AI model and can be wrong. If you turn on Write for a connection, the assistant can create, change and delete content in the connected system. A cloud AI provider you use charges you directly for model usage (section 4). You are responsible for reviewing what the assistant produces and for the actions you allow it to take.

12. Third-Party Services

You must have the right to index the sources and websites you connect to Proxyma, and you must follow their terms.

13. Age

You must be 16 or older, or the age of majority where you live if that is higher, to buy a license.

14. Feedback

If you send us suggestions or other feedback, we may use them without any obligation to you.

15. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles.

If you are a consumer in the European Economic Area, the United Kingdom or Australia, the mandatory consumer protection laws of your country of residence also apply, and you may bring proceedings before the courts of that country.

For any dispute, please contact us first at contact@proxyma.ai. We will make a genuine effort to resolve it informally before any formal proceedings.

If you are a consumer in the European Union and we cannot resolve the matter between us, your national European Consumer Centre can advise you and help take the complaint further.

16. General

Where these Terms and the End User License Agreement differ, the End User License Agreement governs the Software and these Terms govern everything else. If these Terms are translated, the English text governs.

These Terms and the End User License Agreement are the entire agreement between you and us about Proxyma, except where a separate written agreement applies. If any part of these Terms cannot be enforced, the rest remains in effect. If we do not enforce a provision, we have not waived our right to enforce it later.

17. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top shows the most recent revision. Continued use of Proxyma after the updated Terms are posted here with a new “Last updated” date constitutes your acceptance of the updated Terms.
