End User License Agreement

Summary: Proxyma is licensed per installation, not sold. You may install and use it in as many installations as your license tier permits. You may not redistribute, sublicense or reverse-engineer it, or use it as a hosted service for third parties. Your documents and data stay on your own infrastructure, except as section 6 describes.

1. Parties

This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee” or “you”) and Le Sy Hau, an individual software developer based in Vietnam (“Licensor,” “we” or “us”), for the use of the Proxyma software application and all associated documentation files (together, the “Software”).

By downloading, installing, copying or otherwise using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

2. License Tiers and Scope

Your rights depend on the tier you have activated:

  • Community — Free, unlimited in time. You may install and use the Software, indexing a single local folder (up to 100 files, no subfolder indexing) and a single website (up to 3 levels deep and 100 pages). No License Key is required.
  • Personal — One-time purchase per installation. You may install and use the Software in one installation, with unlimited local folders, files and websites, subfolder indexing and deeper crawls. A License Key is required.
  • Professional — One-time purchase per installation. You may install and use the Software in one installation, with everything in Personal plus Confluence, Jira and Bitbucket (Server and Data Center), SVN and Windows network shares. A License Key is required.
  • Trial — Free and limited in time. A new installation of Proxyma Desktop or Proxyma Home Server receives the rights of the Professional tier for 30 days, granted by the Software itself without a License Key. One trial per computer. When it ends, the installation continues on the Community tier.
  • Enterprise — Custom pricing for organizations. Terms negotiated separately; a signed order form supplements this EULA.

“Installation” means one copy of Proxyma with its own data folder. A license covers one installation at a time. Running a second installation at the same time requires a separate license for it, unless your tier explicitly permits more.

You may move your license between your own devices, as often as you like: release it on the old device in Settings → License → Release, then activate it on the new one. Reinstalling on the same computer counts as a new installation if Proxyma's data folder was deleted, so release the license first where you can. If the old device has been lost, wiped or has failed, write to us and we will free the seat for you. This is not a transfer under section 4; the license remains yours.

No tier includes AI usage or AI credits. The Software needs an AI model to answer questions, and you supply it: a model running locally on your own hardware, or a third-party provider you configure with your own account and API key. A third-party provider bills you directly, at its own rates and under its own terms. We do not resell its capacity, and no part of your license fee is applied to it.

3. Grant of License

Subject to your compliance with this EULA and, where applicable, payment of the applicable fee, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Install the Software in the permitted number of installations.
  • Use the Software for your own internal business or personal purposes.
  • Make one archival copy of the installer, solely for backup.

4. Restrictions

You may not:

  • Redistribute, resell, sublicense, rent, lease or lend the Software or any License Key to any third party.
  • Offer the Software as a hosted or managed service to third parties (SaaS use requires a separate Enterprise agreement).
  • Reverse-engineer, decompile, disassemble or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
  • Remove, alter or obscure any proprietary notices in the Software.
  • Use the Software to develop a competing product or service that replicates its core functionality.
  • Transfer your license to another person or entity without our prior written consent. Moving your license between your own devices, as described in section 2, is expressly permitted and is not a transfer for this purpose.

5. License Keys and Activation

The Personal, Professional and Enterprise tiers require a License Key, delivered after purchase. You must keep your License Key confidential and must not share it with anyone else. If you believe it has been compromised, contact us immediately at contact@proxyma.ai .

We reserve the right to revoke, without refund, a License Key shared in violation of this EULA.

A trial is activated by the Software itself when it first reaches our license server, which also re-checks it while the trial runs, as described in the Privacy Policy. You must not try to obtain more than one trial for the same computer, for example by altering the identifiers the Software sends; a trial obtained that way may be revoked.

6. Ownership and Intellectual Property

The Software is licensed, not sold. We retain all right, title and interest in and to the Software, including all intellectual property rights. This EULA grants you no rights to our trademarks, service marks or logos.

Your documents, data and knowledge sources remain entirely your property. The Software processes them locally on your infrastructure and does not transmit them to us, except feedback and answer ratings you send us from inside the Software, as the Privacy Policy describes. The other exceptions are services you configure or use yourself. A cloud AI provider you configure receives your question, the excerpts the Software retrieves, and any page, issue or file the assistant opens to answer. With a cloud embedding model, or the knowledge graph with a cloud model, the text of every document being indexed is sent to that provider. A cloud vision model used for OCR receives the pages of scanned documents. Web searches go to DuckDuckGo, or to Google if you have configured a Google search key. None of this passes through us, and a model running on your own hardware keeps your documents on your infrastructure.

The Software includes third-party open-source components, among them the Java runtime, Python, Chromium and Electron, and Tesseract OCR. Each is licensed to you under its own license; their notices and license texts are in Settings → About → Open-source licenses and in THIRD-PARTY-NOTICES.txt in the installation folder. Nothing in this EULA limits the rights those licenses give you.

7. Updates and New Versions

We may release updates, patches or new versions of the Software. Every update we release is included with a Personal or Professional license, and with Community. Enterprise update entitlements are defined in the applicable order form. We have no obligation to provide updates indefinitely.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

Nothing in this section limits the rights you have as a consumer under mandatory law, including in the European Economic Area, the United Kingdom and Australia.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE, OR USD 50, WHICHEVER IS THE GREATER. Personal and Professional are one-time purchases, so this cap does not diminish over time.

Nothing in this EULA limits or excludes liability that cannot be excluded by applicable mandatory law, including consumer protection law in the European Economic Area, the United Kingdom and Australia.

10. Termination

This EULA is effective until terminated, and terminates automatically if you breach any of its terms. On termination you must cease all use of the Software and destroy all copies in your possession. Sections 4, 6, 8, 9 and 11 survive termination.

Termination does not entitle you to a refund, except as required by applicable consumer-protection law.

11. Governing Law

This EULA is governed by the laws of Vietnam, without regard to conflict-of-law principles. Any dispute arising out of or relating to it shall be resolved in the courts of Vietnam. If you are a consumer in a jurisdiction whose laws provide stronger protections, this clause does not waive them. If you are a consumer in the European Economic Area, the United Kingdom or Australia, you may also bring a claim in the courts of the country where you live.

12. Changes to This EULA

We may update this EULA from time to time. The revised version will be posted at proxyma.ai/eula with a new “Last updated” date. Continued use of the Software after it is posted constitutes your acceptance of the changes.
